This Affiliate Program Agreement (the "Agreement") sets forth the terms and conditions regarding the Affiliate Program (the "Program") of Excelsious Limited trading as Receipt Bot ("Excelsious", "We", "Us", "Company"). By joining the Program, you (if you are an individual) or your company (if you are acting on behalf of your company) (the "Affiliate", "You") agree(s) to be bound by the terms and conditions of this Agreement.
Please read this entire Agreement before accepting its terms.
Affiliate will initiate the enrollment process by submitting and completing the Affiliate Program application via receipt-bot.com/affiliate or other platforms for referral marketing or commission agent recruitment on which Excelsious has posted an advertisement. Excelsious will evaluate Affiliate's application and notify of acceptance or rejection of the application. Excelsious may reject an application and reserves the right to terminate this Agreement for any reason with or without notice, including but not limited to a determination that the Affiliate website is incompatible with or unsuitable for the Program or Receipt Bot's branding or marketing strategy.
The person entering into this Agreement represents to Excelsious that he or she is an individual 18 years of age or older. If the person entering into the Receipt Bot affiliate program is acting on behalf of his or her company, such person represents to Excelsious that he or she has all requisite corporate power and authority to enter into this Program on behalf of the Affiliate, that this Agreement has been duly authorized by Affiliate and that this Agreement will constitute the legally binding and valid obligation of Affiliate. Such person hereby agrees to indemnify and hold Excelsious harmless from any and all damages, claims and expenses (including, without limitation, attorneys' fees) arising from any breach of this Agreement.
Affiliate agrees to post the Link(s) (the "Affiliate Link(s)") to the Receipt Bot website at one (or more) website(s) owned or operated by Affiliate (the "Affiliate Website(s)"). If the Affiliate does not maintain a website, the Affiliate will share the Link with the Lead in an email. Affiliate Links to Receipt Bot website may not be placed in search engines, newsgroups, unsolicited email, banner networks, counters, chatrooms or guestbooks. We prohibit any masking of URLs or emails- making it appear as though your Link is an official Receipt Bot communication. Any Affiliate Link must be placed or shared so that it is not misleading to any reader and does so with the intention of enabling the users to navigate to the Receipt Bot website.
Affiliate has no right to custom or alter the Receipt Bot Brand Features. Affiliate will not use or display the Receipt Bot Brand Features in a manner that is misleading, libellous, defamatory, obscene or otherwise potentially damaging to the reputation of Receipt Bot or the goodwill associated with the Receipt Bot Brand Features.
Excelsious hereby grants to duly accepted Affiliate a limited, nontransferable, nonexclusive, worldwide license, without the right to sublicense, to use, reproduce, and display the Receipt Bot Brand Features and Content at the Affiliate Website. Affiliate is only entitled to use the Receipt Bot Brand Features and Receipt Bot Content solely in the form delivered by Excelsious and only when the Affiliate is a member of the Program.
Affiliate will be solely responsible for identifying leads and for the development, operation and maintenance of the Affiliate Website and communication mechanism with the leads.
Affiliate agrees to refrain from the following: (a) using and/or purchasing domain name(s) that incorporate any portion of the Receipt Bot Brand Features; (b) purchasing any search engine keywords that outrank and/or outbid any of the Receipt Bot website; (c) identifying the Affiliate Website as an "Receipt Bot official website"; and (d) changing any Receipt Bot Product price and/or offering any additional Affiliate discounts or rebate.
Affiliate agrees to indemnify, defend and hold harmless Excelsious, its shareholders, officers, directors, partners, employees, agents, successors and assigns from and against any and all claims, losses, liabilities, damages or expenses (including, without limitation, attorneys' fees) arising from the development, operation, maintenance and contents of Affiliate Website.
Excelsious will process orders placed by users who follow the Links shared by Affiliate to Receipt Bot Website. Excelsious reserves the right to reject or withhold acceptance or fulfilment of orders for any reason or for no reason, including but not limited to the failure to comply with our terms and conditions of sale (which we may revise periodically without notice to you).
Excelsious will be responsible for all aspects of order processing and fulfilment.
For sale to be eligible to earn a commission applicable for Self-generated Leads, users must order by clicking on the correct Affiliate Link shared by you. Phone sales are only eligible for commissions under this Program if the Lead was specifically agreed to by the Excelsious Representative and assigned to you in the Excelsious CRM system.
Excelsious will commission on sales against specific users on the following basis;

A lead is considered converted after 30 days since the first upgrade to a paid subscription. Approximately forty (40) days following the end of each calendar month during the Agreement, Excelsious will send Affiliate a check for the Commissions you earned in such month, less any other fees or reduction for returns that Excelsious is required by law to withhold, and excluding fraudulent, redundant, or non-qualifying Commissions. Excelsious will make every effort to pay within the stipulated times. However, no late fee or additional payment will be made in case there is a delay in the payment of the commission. The commission will be paid in GBP or in the same currency as the billing currency of a specific client, depending on the compatibility of the tracking system and payment systems involved for transactions between Excelsious and Affiliate(s).
Excelsious will hold the payment if the Commissions payable to Affiliate for any calendar month are less than £40.00, until the total amount due is at least £40.00 (unless this Agreement is terminated).
Affiliate shall be responsible for the tax liability arising out of accrual or receipt of Commissions, and Affiliate agrees to indemnify and hold Excelsious harmless from any and all damages, claims, and expenses (including, without limitation, attorneys' fees) arising from such tax liability.
No commission will be payable for unsuccessful leads or leads converted after the end of the cookie expiry period.
The scope of Affiliate Program extends to all countries and territories list in the list of support countries and territories https://www.receipt-bot.com/blog/knowledge-base/supported-countries-languages/ listed on this page: Supported countries and languages.
The number of sales generated using the Links shared by Affiliate to the Excelsious Website will be tracked by our Referral Tracking System. Affiliate will have access to the reporting centre of the tracking system https://receipt-bot.firstpromoter.com/ where Affiliate can check the Affiliate's sales activity.
To enable correct tracking and reporting, Affiliate must ensure that the Links shared by Affiliate are correct, carrying the Affiliate reference and are properly formatted and maintained.
There is a possibility that more than one Affiliate contact the same Lead for a potential sale. Excelsious will only attribute a lead to an Affiliate once a sign-up has been tracked in the Referral Tracking System. If a Lead signs up with two different email addresses tracking with two different Affiliates, the account converted to a paid subscription will be used for calculating the commission payable.
The Referral Tracking System works using the cookies, and the Lead must accept the cookies on Receipt Bot's website to enable tracking.
Cookies expiry period will be set as standard to three months from the date of the first URL click in case of self-generated leads.
For Assigned Leads, affiliates will send emails to the Leads from Receipt Bot's CRM platform after the first contact and log all subsequent contacts as calls or meetings in the CRM platform. Excelsious can re-assign an Assigned Lead to a different Affiliate without giving any notice or justification. The Affiliate must cease all contact once a lead has been removed from the assigned list of an Affiliate in the CRM Platform.
Affiliate shall not create, distribute, publish, or permit any written material that refers Excelsious without first sharing such material with Excelsious Representative and receiving written consent from Excelsious. Affiliate can publish online content via website or social media about Receipt Bot features. Affiliate will share the links for any published material with Excelsious. Excelsious may ask to amend the contents of the material or remove the material altogether with or without giving an explicit justification.
Excelsious reserves all rights other than those expressly granted in this Agreement, and no licenses are granted except as expressly set forth herein. Excelsious retains all rights, titles, and interests in and to the Receipt Bot Brand Features and the Excelsious Website, together with all Intellectual Property Rights thereto. Excelsious shall establish all Excelsious Product pricing and associated fees. Excelsious may, in its sole discretion, change the Excelsious Product pricing with or without notice.
Excelsious will own all rights, title and interests in and to all information that is created or collected in the operation of the Receipt Bot Website, including, without limitation:
| (i) | Any contact information collected from any users or Affiliate Originated Visitors (the "Contact Information"), |
| (ii) | Affiliate will not disclose any Sales Information to any third party without Excelsious's prior approval. Subject to the terms and conditions of this Agreement, and |
| (iii) | Affiliate will comply with its privacy policies and statements in handling, using and disclosing any Contact Information and Sales Information. |
Affiliate and Excelsious are independent contractors, and nothing in this Agreement will create any joint venture, partnership, franchise, agency, employment or sales representative, relationship, or the relationship of principal and agent between the parties. Affiliate will have no authority to accept or make any offers or representations on Excelsious's behalf. Affiliate will not make any representation or statement, whether on Affiliate Website or otherwise, that reasonably would contradict anything in this Section. Affiliate, as an independent contractor, will have sole responsibility for its expenses, employees, sales representatives and agents.
Affiliate agrees that by becoming a Receipt Bot Affiliate, Excelsious will contact you periodically with information about the Receipt Bot Affiliate program. If your sales method involves personal interaction with the Leads or creating audio or video content, you will be required to attend at least one demo of Receipt Bot to familiarize yourself with the Receipt Bot's functionality and features. Affiliate will ensure any person assigned to manage communication with the prospective clients or leads is suitably trained to explain the application features and represent the product in the best possible manner.
This Agreement shall be interpreted in accordance with the laws of England without reference to conflicts of laws or provisions, and any legal proceeding arising out of this Agreement will occur in England, United Kingdom. This Agreement contains the entire Agreement between Excelsious and Affiliate with respect to the subject matter of this Agreement, and supersedes all prior and/or contemporaneous agreements or understandings, written or oral, between Excelsious and Affiliate with respect to the subject matter hereof.
Any notice to be given under this Agreement will be in writing and given by electronic mail, requiring a delivery confirmation by the receiver. The date of receipt shall be deemed the date on which such notice is given. Notice to Excelsious will be directed to the Receipt Bot Affiliate Support representative.
Affiliate may not assign this Agreement, by operation of law or otherwise, without Excelsious's prior written consent.
You acknowledge that you have read this Agreement and agree to all its terms and conditions. You have independently evaluated the appropriateness of participating in the affiliate program and are not relying on any representation, guarantee, or statement other than as set forth in this Agreement.
You understand that we may at any time (directly or indirectly) solicit customer referrals on terms that may differ from those contained in this Agreement or operate websites that are similar to or compete with your website.
This Agreement will become effective on the Affiliate's Enrollment Date and ends when terminated by either party in accordance with this Agreement. This Agreement may be terminated (i) by Excelsious, with or without cause, and with or without notice to Affiliate, and (ii) by Affiliate, with or without cause, by removing the Receipt Bot Brand Feature from the Affiliate Website and notifying Excelsious of its intention to terminate the Agreement.
Upon termination or expiration of the Agreement: (i) all licenses granted herein shall terminate; (ii) Affiliate shall immediately remove any Affiliate Link(s) and Receipt Bot Brand Features from Affiliate Website; (iii) Excelsious will pay Affiliate any accrued and unpaid Fees, provided such fees exceed £15; and (iv) Sections 3, 13, 18, 19, 21, 24, and 25 and this sentence will survive. If Excelsious should terminate this Agreement because Affiliate is in breach of a material term, Excelsious may withhold Commissions payable in an amount equal to the amount by which Excelsious believes in good faith that we have been damaged by such breach, including prospective damages and damages resulting from claims by third parties caused by such breach.
At any time and in Excelsious's sole discretion, Excelsious may modify any of the terms and conditions contained in this Agreement by emailing a revised agreement to Affiliate. If any modification is unacceptable to Affiliate, Affiliate's only recourse is to terminate this Agreement. Affiliate's continued participation in the Program following Excelsious's posting of a change notice or new Agreement on Receipt Bot. Excelsious.com and/or Affiliate's receipt of a revised agreement will constitute binding acceptance of the modification.
The Receipt Bot website and related services are provided "as is" with no warranty, and Excelsious expressly disclaims any warranty, express or implied, regarding the Receipt Bot website, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement and implied warranties arising from course of dealing or course of performance. In addition, Excelsious makes no representation or warranty that the links, the tracking data, the operation of Receipt Bot's website, and systems for tracking and reporting sales generated by your website will be uninterrupted or error-free. Excelsious shall not be liable for the consequences of any interruptions or errors, including, without limitation, loss of data.
Excelsious shall have no liabilities or obligations under warranty or otherwise to any of your customers for damages arising out of or in connection with the delivery, use or performance of Excelsious's products.
Under no circumstances will Excelsious be liable, whether in tort, contract or otherwise, for indirect, consequential, incidental, special or exemplary damages (including but not limited to damages for any loss of revenue, profits, business interruption, loss of business information or data, loss of goodwill, work stoppage, hardware or software failure, or other financial loss) arising from or relating to any provision of this Agreement or the Program. Without limiting the foregoing, Excelsious's aggregate liability arising with respect to this Agreement will not exceed the total fees paid or payable to Affiliate under this Agreement.
