This Referral Program Agreement (the "Agreement") sets forth the terms and conditions regarding the Referral Program (the "Program") of Excelsious Limited trading as Receipt Bot ("Excelsious", "We", "Us", "Company"). By joining the Program, you (if you are an individual) or your company (if you are acting on behalf of your company) ("Referrer" or "You") agree(s) to be bound by the terms and conditions of this Agreement.
Please read this entire Agreement before accepting its terms.
Referrer will enrol in the Referral Program using the 'Join' link on the billing & subscription page of the Receipt Bot web application. The Referrer must have an active subscription to Receipt Bot at the time of joining the Program and then use the reward credits subsequently. Excelsious reserves the right to decline the joining request or terminate this Agreement for any reason with or without notice.
The person entering into this Agreement represents to Excelsious that they are an individual, 18 years of age or older. If the person entering into the Receipt Bot Referrer program is acting on behalf of his or her company, such person represents to Excelsious that he or she has all requisite corporate power and authority to enter into this Program on behalf of the Referrer, that this Agreement has been duly authorized by Referrer and that this Agreement will constitute the legally binding and valid obligation of Referrer. Such person hereby agrees to indemnify and hold Excelsious harmless from any and all damages, claims and expenses (including, without limitation, lawyers' fees) arising from any breach of this Agreement.
The Referrer will use a unique referral link to refer potential users and leads to be eligible for the reward. You acknowledge and agree that we may disclose your name to your referees as the Referrer. Your Referral must sign up using your referral link. Referral Links to Receipt Bot website may not be placed in search engines, newsgroups, unsolicited email, banner networks, counters, chatrooms or guestbooks. We prohibit any masking of URLs or emails- making it appear as though your link is an official Receipt Bot communication.
Referrer has no right to customer or alter the Receipt Bot Brand Features. Referrer will not use or display the Receipt Bot Brand Features in a manner that is misleading, libellous, defamatory, obscene or otherwise potentially damaging to the reputation of Receipt Bot or the goodwill associated with the Receipt Bot Brand Features.
Excelsious hereby grants to duly accepted Referrer a limited, nontransferable, nonexclusive, worldwide license, without the right to sublicense, to use, reproduce, and display the Receipt Bot Brand Features and Content at the Referrer Website. The Referrer is only entitled to use the Receipt Bot Brand Features and Receipt Bot Content solely in the form delivered by Excelsious and only when the Referrer is a Program member.
For sale to be eligible to earn a reward, users must sign up by clicking on the correct Referrer Link shared by you. The referral reward will be a one-time addition of document credits to your Receipt Bot account. The reward credits will equal one-third of the credits purchased by the Referral in their first invoice, up to a maximum of 600 credits. The credits will be available for the same billing period(s) as the purchased credits under your subscription and will expire afterwards. No commission or fee is payable to the Referrer by Exceslious under any circumstances, either as compensation or reward for Referral or in lieu of any unused or expired reward credits.
The scope of the Referral Program extends to all countries and territories mentioned in the list of supported countries and territories on this page: Supported countries and languages.
The number of sales generated using the Links shared by the Referrer to the Excelsious Website will be tracked by our Referral Tracking System. There is a possibility that more than one Referrer contact the same Lead for a potential sale. Excelsious will only attribute a lead to a Referrer once a sign-up has been tracked in the Referral Tracking System. If a Lead signs up with two different email addresses tracking with two different Referrers, the account converted to a paid subscription will be used for assigning reward credits. The Referral Tracking System uses cookies for tracking, and the Lead must accept the cookies on the Receipt Bot's website to enable tracking. Cookies' expiry period will be set as standard to three months from the date of the first URL click.
Referrer shall not create, distribute, publish, or permit any written material that makes reference to Excelsious or Receipt Bot without first sharing such material with Excelsious Representative and receiving written consent from Excelsious. Referrer can publish online content via website or social media about Receipt Bot features. The Referrer will share the links for any published material with Excelsious. Excelsious may ask to amend the contents of the material or remove the material altogether with or without giving an explicit justification.
Excelsious reserves all rights other than those expressly granted in this Agreement, and no licenses are granted except as expressly set forth herein. Excelsious retains all rights, titles, and interests in and to the Receipt Bot Brand Features and the Excelsious Website, together with all Intellectual Property Rights thereto. Excelsious shall establish all Excelsious Product pricing and associated fees. Excelsious may, in its sole discretion, change the Excelsious Product pricing with or without notice.
Excelsious will own all rights, titles and interests in and to all information that is created or collected in the operation of the Receipt Bot Website, including, without limitation:
| (i) | Any contact information collected from any users or Referrer Originated Visitors (the "Contact Information"), |
| (ii) | The Referrer will not disclose any Sales Information to any third party without Excelsious's prior approval. Subject to the terms and conditions of this Agreement, and |
| (iii) | The Referrer will comply with its privacy policies and statements in handling, using and disclosing any Contact Information and Sales Information. |
Referrer and Excelsious are independent contractors, and nothing in this Agreement will create any joint venture, partnership, franchise, agency, employment or sales representative, relationship, or the relationship of principal and agent between the parties. The Referrer will have no authority to accept or make any offers or representations on Excelsious's behalf. The Referrer will not make any representation or statement, whether on the Referrer Website or otherwise, that reasonably would contradict anything in this Section. Referrer, as an independent contractor, will have sole responsibility for its expenses, employees, sales representatives and agents.
This Agreement shall be interpreted in accordance with the laws of England without reference to conflicts of laws or provisions, and any legal proceeding arising out of this Agreement will occur in England, United Kingdom. This Agreement contains the entire Agreement between Excelsious and Referrer with respect to the subject matter of this Agreement, and supersedes all prior and/or contemporaneous agreements or understandings, written or oral, between Excelsious and Referrer with respect to the subject matter hereof.
Any notice to be given under this Agreement will be in writing and given by electronic mail, requiring a delivery confirmation by the receiver. The date of receipt shall be deemed the date on which such notice is given. Notice to Excelsious will be directed to the Receipt Bot Support representative.
Referrer may not assign this Agreement, by operation of law or otherwise, without Excelsious's prior written consent.
You acknowledge that you have read this Agreement and agree to all its terms and conditions. You have independently evaluated the appropriateness of participating in the Referrer program and are not relying on any representation, guarantee, or statement other than as outlined in this Agreement.
This Agreement will become effective on the Referrer's Enrollment Date and ends when terminated by either party in accordance with this Agreement. This Agreement may be terminated (i) by Excelsious, with or without cause, and with or without notice to Referrer, and (ii) by Referrer, with or without cause, by removing the Receipt Bot Brand Feature from the Referrer Website, and notifying Excelsious of its intention to terminate the Agreement.
At any time and in Excelsious's sole discretion, Excelsious may modify any of the terms and conditions contained in this Agreement by emailing a revised agreement to the Referrer. If any modification is unacceptable to the Referrer, the Referrer's only recourse is to terminate this Agreement. Referrer's continued participation in the Program following Excelsious's posting of a change notice or new Agreement on Receipt Bot. Excelsious.com and/or Referrer's receipt of a revised agreement will constitute binding acceptance of the modification.
The Receipt Bot website and related services are provided "as is" with no warranty, and Excelsious expressly disclaims any warranty, express or implied, regarding the Receipt Bot website, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement and implied warranties arising from course of dealing or course of performance. In addition, Excelsious makes no representation or warranty that the links, the tracking data, the operation of Receipt Bot's website, or procedures and systems for tracking and reporting sales generated by your links will be uninterrupted or error-free, and Excelsious shall not be liable for the consequences of any interruptions or errors, including, without limitation, loss of data. Excelsious shall have no liabilities or obligations under warranty or otherwise to any of your customers for damages arising out of or in connection with the delivery, use or performance of Excelsious's products.
Under no circumstances will Excelsious be liable, whether in tort, contract or otherwise, for indirect, consequential, incidental, special or exemplary damages (including but not limited to damages for any loss of revenue, profits, business interruption, loss of business information or data, loss of goodwill, work stoppage, hardware or software failure, or other pecuniary loss) arising from or relating to any provision of this Agreement or the Program.
